RiseAboveAddiction.com’s Contributor Agreement

RiseAboveAddiction.com (hereinafter “Site”) is providing this contributor agreement to clarify the terms which govern the use, approval, posting, cost, duration, reproduction, distribution, and alteration of any and all content submitted to the Site. The Site asks that you (hereinafter “Contributor”) read through the terms of this Agreement (hereinafter “Agreement”) with RiseAboveAddiction.com thoroughly and carefully.

PLEASE READ THE ENTIRE DOCUMENT.

General Considerations

Upon submitting any work, article, information, resources, commentary, review, postings, or any other content (hereinafter “Content”) to this Site, you  the Contributor agrees to be governed by this Agreement and agrees to all terms and conditions contained herein. RiseAboveAddiction.com reserves the right, at its sole discretion, to alter, change or modify any part of the Agreement or to change it in entirety at any time and becoming effective immediately once the said changes have been published. If the situation arises that the Contributor does not agree to any of the terms, conditions or any part of the Agreement in the slightest, the Contributor should not submit any Content whatsoever to this site. For in so doing, the Contributor shall be bound by the Agreement and held to such as if the Contributor had expressed full agreement.

The Governance of Content

When the Contributor submits any Content to the Site, the Contributor is asserting that they have full rights to submit said Content, and has full rights to submit content for publication on the Site. Also the Contributor asserts by submitting Content that submitting such content will not violate or infringe on the rights of any third party including but not limited to, rights in copyrights, patents, trademarks, service marks, trade secrets or other proprietary rights, or other agreements. The Contributor also represents and hereby understands that the Contributor will receive no form of compensation from the Site for the Content submitted by the Contributor. The Contributor also understands that submitting Content does in no way guarantee publication or use in any form of said Content on the Site.

The Contributor assures and grants the Site all of the following rights to the Content without exception, preclusion, preamble, exclusion, or qualification of any kind:

1. The Site is given full ownership and full rights to unconditionally use, adapt, delete, publish, profit from, syndicate, alter, and republish Content. This includes the fact that the Contributor fully, completely, and permanently abandons all such rights.
2. The Site is also given full rights to sell ownership and or rights to Content. This includes the fact that the Contributor fully, completely, and permanently abandons all such rights.
3. The above mentioned grants/guarantees contain but are not limited to the following points numbered “4.” “5.” “6.”
4. the perpetual and worldwide right to publish and distribute in any form the Content on the Site as well as via any other means the Site may have dully appropriate means to do so including but not limited to all forms of print, advertising, publication, syndication, and in any language. This includes the right to translate the Content.
5. the worldwide and perpetual right to include the Content in advertising and promotion;
6. the worldwide and perpetual right to include the Content in print and non-print products anywhere in the world.

The Site may also delete any Content or form or section thereof without any consent from, or notice to the Contributor.

Contributor Represents and Warrants To RiseAboveAddiction.com that:

You, the Contributor, are the sole author and owner of the Content and have the full power and authority, free of any rights of any nature whatsoever by any other person or party, to enter into this Agreement and to grant the rights, which are being granted by this Agreement.

The Content does not and if published on the Site, will not infringe upon any copyright or any proprietary right at common law or otherwise.

The Content is founded on true facts and diligent research.

You, the Contributor, agree not to enter into any subsequent agreement, contract, or understanding that might in any way conflict with the rights granted to the Site under this Agreement in regarding to the Content.

The Contributor acknowledges that the fee for the Content will be $0.

The Site is under no obligation to publish the Contributor’s submitted Content.

The Contributor also Represents that they Will:

Notify the Site in full disclosure of any financial or other interest the Contributor may have, be it directly or indirectly, in any security, company, financial product, which is contained in or referred to in any way within the Content. The same must also be disclosed for any family member of, or entity in which the Contributor has interest.

Make certain to pay appropriately and legally the $30 for up to 3 hypertext links to be included in the content. This does not represent an obligation of the Site to publish the Content if it is not found to be appropriate according to the owners and operators of the Site for any reason at their sole discretion.

The Contributor will make certain any hypertext links within the Content are active and working, obtain any necessary approvals from that company or entity, and make certain that such linking does not violate any copyrights, patents, trademarks, service marks, trade secrets or other proprietary rights.

Will not make any statements which the Contributor knows, or even has reason to suspect is untruthful and/or unlawful.

The Contributor also agrees not to submit any Content that is unkind, defamatory, obscene, vulgar, sexually explicit, promotes hate or violence, or is offensive to general audiences, or violates any law, or celebrates the violation of any law.

Contributor also agrees not to submit any Content that contains any viruses, "worms", "trojan horses" or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;

Disclose your true identity and not impersonate any person or entity, or misrepresent your affiliation with any person or entity;

Not forge e-mail headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted to the Site;

Not upload, post, email or otherwise transmit any Content that you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);

Not intentionally or unintentionally violate any applicable local, state, national or international law, including, but not limited to, regulations promulgated by the U.S. Securities and Exchange Commission, any rules of any national or other securities exchange, including, without limitation, the New York Stock Exchange, the American Stock Exchange or the NASDAQ, and any regulations having the force of law;

Not publish the Content in violation of this Agreement. Contributor agrees to cooperate with the Site in its defense of any action related to the Content. In addition, you agree to indemnify and hold the Site harmless from any and all claims, losses and expenses that are a result of your breach of the foregoing representations.

The Site reaffirms its position to cooperate fully with the law in any and all matters.

What about Termination Of Service?

RiseAboveAddiction.com reserves the right to cancel or terminate or suspend the services, activities, and/or existence of the Site at any time without any reason, without prior notice or liability. The Site also reserves the right to suspend, eliminate or discontinue all or any aspect of the Site at any time.

Indemnification

The Contributor agrees to hold harmless, indemnify, and defend the Site, its owners and operators and any third party information providers to the Site from and against all damages, including but not limited to attorney’s fees, expenses, claims, losses and costs that are a result of any violation of this Agreement (either by malicious or wrongful conduct or by negligence) by Contributor or any other person accessing the Site.

Miscellaneous

The Contributor agrees that this is the entire Agreement between Contributor and the Site related to the Content and that this Agreement supersedes and replaces all previous agreements and/or understandings related to the Content. Any disagreements, or disputes related to this Agreement shall be governed by the laws of the United States of America and Contributor consents to the jurisdiction of the courts of the same. This is only after the Contributor has made every reasonable effort to resolve any issue directly with the Site.

The Site reserves any and all rights not expressly stated herein.
